Terms of Service

CBC SaaS is a software-as-a-service (SaaS) platform that lets contracting and renovation businesses capture leads, book consultations, send transactional emails, and manage a pipeline through an admin dashboard. We provide hosting, the application, and integrations with third-party services listed in our Data Processing Agreement.

To use the Platform, you must create an account with accurate information and a valid email address. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to notify us promptly of any unauthorized access.

• Access to the Platform requires an active paid subscription, billed monthly through Stripe.
• Subscriptions renew automatically each billing cycle until cancelled.
• You may cancel at any time from the admin billing page; cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by law.
• We may change pricing with at least 30 days' notice by email. Continued use after the price change constitutes acceptance.
• If a payment fails, we may suspend your account until the balance is paid. Data is retained during suspension.

“Customer Data” means data you or your end users (e.g. homeowners submitting a lead) submit to the Platform. You retain all rights in your Customer Data. You grant us a limited license to host, process, and transmit Customer Data solely to provide the Platform and as described in our Data Processing Agreement.

You are responsible for the lawfulness of Customer Data and for obtaining any consents required from your end users before submitting their data to the Platform.

You agree not to:

• Use the Platform for unlawful purposes or to send unsolicited bulk email (spam)
• Attempt to reverse engineer, disrupt, or circumvent the Platform's security
• Upload malicious code or content that infringes a third party's rights
• Resell the Platform or provide it as a service to third parties without our written consent
• Scrape, mirror, or frame the Platform without permission

The Platform, including its software, design, and trademarks, is owned by Cephus Business Consulting Inc.. These Terms do not transfer any ownership rights to you. You may use our trademarks only as permitted in writing.

The Platform integrates with third-party services including Airtable, Resend, Google Calendar, Google Maps, Vercel, PostHog, Sentry, and Stripe. Your use of those services is governed by their respective terms. We are not responsible for the availability or conduct of third-party services.

Each party agrees to protect the other's non-public business information with at least the same care it uses for its own confidential information, and not to disclose it except to personnel who need to know and are bound by confidentiality obligations.

You may terminate your account at any time by cancelling your subscription. We may suspend or terminate your account for material breach of these Terms, with reasonable notice where practicable. On termination, we will make Customer Data available for export for 30 days; after that, Customer Data may be deleted from active systems in accordance with our data-retention practices.

The Platform is provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Platform will be uninterrupted or error-free.

To the fullest extent permitted by law, our aggregate liability arising out of or relating to these Terms or the Platform will not exceed the fees you paid us in the 12 months preceding the event giving rise to the claim. We will not be liable for any indirect, incidental, consequential, special, or punitive damages.

You agree to indemnify and hold harmless Cephus Business Consulting Inc. from any claim or demand, including reasonable attorneys' fees, arising out of your breach of these Terms, your Customer Data, or your use of the Platform in violation of applicable law.

These Terms are governed by the laws of Georgia, USA, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in Georgia, USA, and the parties consent to personal jurisdiction there.

We may update these Terms from time to time. Material changes will be communicated by email or through the admin dashboard at least 30 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance.
